Marketpal Terms & Conditions - For Suppliers

These Terms and Conditions govern the use of the Marketpal platform by individuals and businesses who register as Product & Service Providers.


By creating an account, purchasing Market Credits, or otherwise using the Marketpal platform, you agree to be bound by these Terms.


If you do not agree to these Terms, you must not use the Platform.


These Terms form a legally binding agreement between:

You, the registered Product & Service Provider.



1. Definitions

In these Terms the following definitions apply:


Buyer

A user of the Platform seeking products or services from Product & Service Providers.


Prospective Buyer

A Buyer who has submitted an RFQ but has not yet entered into a contract with a Product & Service Provider.


Product & Service Provider (Provider)

A business or individual who registers on the Platform to offer products or services to Buyers.


RFQ (Request for Quote)

A request submitted by a Buyer through the Platform describing a requirement for products or services.


Market Credits

Credits purchased by Providers which allow them to access RFQs and communicate with Buyers.


Contact

A Prospective Buyer whose RFQ has been accessed by a Provider through the Platform.


Contact Details

Information that allows a Buyer and Provider to communicate directly, including but not limited to personal or business email addresses, telephone numbers, messaging identifiers, company contact information, or other communication details voluntarily shared by a Buyer.


Customer

A Buyer who chooses to engage a Product & Service Provider.


Customer Contract

A contract entered into directly between a Buyer and a Product & Service Provider for the supply of products or services.


Platform

The Marketpal website and services available at www.marketpal.com.



2. The Marketpal Platform

Marketpal operates an online technology platform designed to connect Buyers who are seeking products or services with independent Product & Service Providers who wish to offer those products or services.


The Platform allows Buyers to submit RFQs describing their requirements.


Providers may review these RFQs and choose whether to respond.


The Platform provides the technology and communication tools necessary to allow these introductions to take place.


Marketpal does not provide the products or services listed on the Platform.



2.2 Independent Providers and Marketplace Model

Product & Service Providers using the Platform operate independent businesses.


Product & Service Providers are not employees, partners, representatives, agents, contractors, or franchisees of Marketpal.


Marketpal does not employ, supervise, manage, or control the Product & Service Providers listed on the Platform.


Marketpal does not provide the services or products requested by Buyers.


By connecting Buyers seeking products or services with independent Providers who wish to supply those services, Marketpal operates solely as an online marketplace that facilitates introductions between the two parties.


The Platform enables Buyers and Providers to discover each other and communicate.


However, Marketpal does not participate in negotiations, agreements, transactions, service delivery, or the performance of services between Buyers and Providers.



2.3 Customer Contracts

Where a Buyer chooses to engage a Provider, any agreement for services or products will be entered into directly between the Buyer and the Provider.


These agreements are referred to as Customer Contracts.


Marketpal is not a party to any Customer Contract.


Marketpal does not draft, negotiate, review, supervise, enforce, or manage those agreements.


All terms relating to:

  • pricing
  • service scope
  • timelines
  • payment arrangements
  • warranties
  • delivery of services


are agreed solely between the Buyer and the Provider.



2.4 No Responsibility for Services

Marketpal has no responsibility for the performance, quality, safety, legality, or outcome of services provided by Providers.

Providers are solely responsible for:


  • the services or products they offer
  • the quality of their work
  • compliance with applicable laws
  • fulfilling obligations under Customer Contracts



2.5 Buyers Are Customers of the Provider

Where a Buyer engages a Provider, the Buyer becomes a Customer of the Provider and not a customer of Marketpal.

For clarity:


  • The Buyer is the customer of the Provider
  • The Provider is the supplier of the services
  • Marketpal is only the platform facilitating the introduction


Marketpal does not provide those services and is not responsible for them.



2.6 Scope of Marketpal's Services

Marketpal’s services are limited to providing the Platform and facilitating introductions between Buyers and Providers.

Marketpal provides:


  • the ability for Buyers to submit RFQs
  • the ability for Providers to access RFQs
  • messaging tools to enable communication


Marketpal does not act as an agent, broker, intermediary, or contractor in relation to the services offered by Providers.


Marketpal’s role ends once an introduction has been made through the Platform.


Any subsequent dealings, agreements, or transactions occur entirely between the Buyer and the Provider.



3. How the RFQ System Works

Buyers may submit RFQs describing their requirements.


The information included in an RFQ may vary depending on what the Buyer chooses to provide.


Providers may purchase Market Credits to access RFQs and communicate with Prospective Buyers.


Responding to an RFQ provides the opportunity to submit a proposal to the Buyer.


Buyers may receive responses from multiple Providers.


Buyers may choose to engage any Provider or none at all.



4. Buyer Contact Details

Buyers may choose whether or not to share Contact Details when submitting an RFQ.


Contact Details may include personal or business contact information, such as:

  • telephone numbers
  • email addresses
  • company contact details


Buyers may also choose not to share Contact Details.


Where Contact Details are not shared, communication will occur through the Platform messaging system.


The absence of Contact Details does not constitute a defect in the RFQ and does not entitle a Provider to a refund of Market Credits.


Providers acknowledge that the level of information included in RFQs may vary.



5. No Guarantee of Work

Market Credits provide access to Buyer requests.


Purchasing or redeeming Market Credits does not guarantee:

  • that a Buyer will respond
  • that a Buyer will engage a Provider
  • that a contract will be formed
  • that any revenue will be generated


Marketpal does not guarantee the accuracy, seriousness, or intent of any RFQ submitted by a Buyer.



6. Account Registration

To use the Platform as a Provider you must create an account.


By registering an account you confirm that:

  • you are at least 18 years old
  • you are legally permitted to offer the services listed
  • information you provide is accurate
  • you have authority to represent your business


Marketpal may suspend or terminate accounts providing false information.



7. Provider Responsibilities

Providers agree to:

  • offer services they are qualified to perform
  • comply with applicable laws
  • communicate professionally
  • fulfil commitments to Customers


Providers must clearly represent that services are supplied by the Provider and not by Marketpal.



8. Market Credits

Market Credits must be purchased before responding to RFQs.


The price of Market Credits will be displayed on the Platform at purchase.


Credits must be paid for in advance.


Unused credits expire 12 months after purchase.


Expired credits are not refundable.



9. Credit Returns

Credits are generally non-refundable.


Returns may only be considered where Marketpal verifies:

  • invalid contact details, or
  • fraudulent RFQs.


No returns will be granted where:

  • Buyers do not respond
  • Buyers choose another Provider
  • Buyers decline to share contact details
  • Providers fail to win the work



10. Platform Conduct

Providers must not:

  • misuse the Platform
  • attempt to obtain contact details outside the Platform
  • upload illegal or misleading content
  • create duplicate accounts


Accounts violating these rules may be suspended.



11. Intellectual Property

All rights in the Platform belong to Marketpal.


Providers retain ownership of their uploaded content but grant Marketpal a licence to display it.



12. Data Protection

Providers must comply with applicable data protection laws.


Buyer information obtained through the Platform may only be used for responding to RFQs.



13. Limitation of Liability

Marketpal is not liable for losses arising from:

  • Customer Contracts
  • business decisions made by Providers
  • inaccurate RFQs
  • failure to secure work


Marketpal’s liability will not exceed the value of Market Credits purchased in the preceding 12 months.



14. Termination

Marketpal may suspend accounts where Terms are breached or illegal activity occurs.


Providers may close their accounts at any time.



15. Changes to These Terms

Marketpal may update these Terms periodically.


Continued use of the Platform constitutes acceptance of updated Terms.



16. Governing Law

These Terms are governed by the laws of England and Wales.
