Terms & Conditions

These Terms and Conditions govern the use of the Marketpal platform by individuals or businesses who submit requests for products or services and interact with Product & Service Providers through the Platform.

By submitting an RFQ, creating an account, or otherwise using the Marketpal platform, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Platform.

These Terms form a legally binding agreement between:

You, the Buyer.

You may only use the Platform if you are at least 18 years old.

1. Definitions

In these Terms the following definitions apply:

Buyer / You

An individual or business using the Platform to request products or services.

Product & Service Provider (Provider)

An independent individual or business offering products or services through the Platform.

RFQ (Request for Quote)

A request submitted by a Buyer through the Platform describing a requirement for products or services.

Customer Contract

A contract entered into directly between a Buyer and a Product & Service Provider for the supply of products or services.

Contact Details

Information that allows a Buyer and Provider to communicate directly, including personal or business email addresses, telephone numbers, company contact details, messaging identifiers, or other communication information voluntarily shared by a Buyer.

Platform

The Marketpal website and associated services available at www.marketpal.com.

Facilitation Services

The services provided by Marketpal that enable introductions and communication between Buyers and Product & Service Providers.

2. The Marketpal Platform

Marketpal operates an online technology platform designed to connect Buyers seeking products or services with independent Product & Service Providers.

The Platform allows Buyers to submit RFQs describing their requirements.

Once an RFQ is submitted, Marketpal may share the request with Product & Service Providers who may be able to fulfil the request.

Providers may then respond to the RFQ and contact the Buyer using the information provided or through the Platform messaging system.

Marketpal’s role is limited to facilitating introductions between Buyers and Product & Service Providers.

Marketpal does not provide the services requested by Buyers.

2.1 Submitting an RFQ

When submitting an RFQ through the Platform, you agree that:

• - the information you provide is accurate and truthful
• - you are genuinely seeking products or services
• - Marketpal may share your RFQ with relevant Provider

Multiple Providers may contact you in response to your request.

Marketpal may verify your contact details or location before distributing your RFQ.

Marketpal may refuse or remove RFQs that appear fraudulent, incomplete, or inconsistent.

2.2 Role of Marketpal as a Marketplace

Marketpal operates solely as an online marketplace platform.

By connecting Buyers seeking products or services with independent Product & Service Providers who wish to supply those services, Marketpal facilitates introductions between the two parties.

Product & Service Providers are independent businesses and are not employees, agents, partners, or representatives of Marketpal.

Marketpal does not supervise, control, or manage the services provided by Product & Service Providers.

Marketpal does not participate in negotiations, agreements, service delivery, or the performance of services between Buyers and Providers.

2.3 Customer Contracts

If you choose to engage a Product & Service Provider, any agreement for services or products will be entered into directly between you and that Provider.

This agreement is referred to as a Customer Contract.

Marketpal is not a party to any Customer Contract.

Marketpal does not negotiate, draft, supervise, or enforce Customer Contracts.

All terms relating to services, including:

• pricing
• scope of work
• timelines
• warranties
• payment arrangements

are agreed solely between the Buyer and the Product & Service Provider.

2.4 Responsibility for Services

Product & Service Providers are solely responsible for the services they provide.

This includes responsibility for:

• service quality
• safety and legality of services
• compliance with applicable laws
• fulfilment of obligations under Customer Contracts

Marketpal accepts no responsibility or liability for services provided by Providers.

2.5 Choosing a Provider

After submitting an RFQ you may receive responses from one or more Providers.

You may choose to:

• engage a Provider
• request additional information
• decline all responses

Marketpal does not guarantee that any Provider will be able to fulfil your request.

It is your responsibility to evaluate Providers and determine whether they are suitable for your requirements.

2.6 Contact Details and Communication

When submitting an RFQ you may choose to provide Contact Details to allow Product & Service Providers to respond to your request.

Contact Details may include business or personal contact information, such as:

• email addresses
• telephone numbers
• company contact details

Where you provide Contact Details as part of your RFQ, those Contact Details may be made visible to Product & Service Providers who access your RFQ through the Platform.

By submitting an RFQ and providing Contact Details, you consent to being contacted by Product & Service Providers in relation to your request, including through the contact information you have provided.

Product & Service Providers may contact you:

• directly using the Contact Details you provide, or
• through the messaging tools available on the Platform.

You acknowledge that multiple Product & Service Providers may contact you in response to your RFQ.

Where you choose not to provide Contact Details, communication with Providers may occur through the Platform messaging system.

2.7 Responsible Use of Contact Information

The Platform is intended primarily to facilitate business-to-business interactions between Buyers and Product & Service Providers.

Buyers are encouraged to provide business contact information where possible.

For your safety and privacy, we recommend that you do not share sensitive personal information, including:

• home addresses
• personal residential contact details
• private phone numbers

unless it is necessary for the service requested and you are comfortable doing so.

Marketpal is not responsible for how Buyers and Providers communicate once contact has been established.

3. Ending Use of the Platform

You may stop using the Platform at any time.

If you have created an account, you may request closure of your account by contacting Marketpal.

Ending your use of the Platform does not affect any Customer Contract you may have entered into with a Product & Service Provider.

4. Provider Ranking

When you submit an RFQ, the Platform may identify Providers who match your request.

Providers may be ranked based on factors including:

• completeness of their profile
• experience and qualifications
• response speed
• activity on the Platform
• reviews and ratings

Marketpal does not guarantee the accuracy of information contained in Provider profiles.

5. Data Protection

Your personal data will be handled in accordance with Marketpal’s Privacy Policy and Cookie Policy.

By submitting an RFQ, you agree that your information may be shared with relevant Product & Service Providers for the purpose of responding to your request.

6. Illegal or Harmful Content

Product & Service Providers may upload content describing their services.

Marketpal takes reasonable steps to monitor activity on the Platform.

However, illegal or harmful content may occasionally appear.

If you encounter content that you believe is illegal or inappropriate, you may report it to Marketpal.

Marketpal will investigate and take appropriate action where necessary.

7. Liability

Marketpal is not responsible for disputes between Buyers and Product & Service Providers.

Marketpal has no liability for the performance, quality, or outcome of services provided by Providers.

Any claims relating to services must be addressed directly with the Provider.

Nothing in these Terms excludes or limits liability that cannot legally be excluded under the laws of England and Wales.

8. Governing Law

These Terms are governed by the laws of England and Wales.

Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.

9. General Provisions

Marketpal may update these Terms from time to time.

Updated versions will be published on the Platform and will apply from the date they are posted.

Marketpal may transfer its rights or obligations under these Terms to another organisation.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.
